1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Open Verdict Limited (“Dracup,” “we,” “us,” or “our”), registered at 8 The Green, Ste A, Dover, DE 19901. By accessing or using the Dracup platform (the “Platform”), you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you are using the Platform on behalf of a law firm, legal organization, or other entity, you represent and warrant that you have the authority to bind such entity to these Terms.
2. Description of the Platform
Dracup is a web-based software-as-a-service platform that automates document demand workflows for civil litigation attorneys. The Platform receives forwarded legal documents via email, uses AI to parse and structure document demand requests, generates client checklists, tracks document intake, facilitates client communications, and helps build production records for discovery responses.
The Platform provides workflow support tools designed to assist licensed attorneys in civil litigation discovery. All AI-generated outputs are presented as drafts for attorney review and approval. The Platform does not replace attorney judgment, legal research, or professional analysis, and does not take any action without explicit attorney approval.
3. Acceptable Use
The Platform is intended for use by licensed attorneys and their authorized staff (including paralegals and litigation support personnel) in connection with active legal matters. You agree to use the Platform only for purposes consistent with applicable laws, court rules, and professional conduct obligations.
You agree not to:
- Process documents that are unrelated to an active legal matter
- Share matter data across firm boundaries or with parties not authorized by the subscribing firm
- Forward or upload information obtained through unlawful means
- Redistribute, resell, or sublicense Platform outputs without authorization
- Attempt to reverse-engineer, decompile, or extract the AI parsing logic, models, or proprietary algorithms
- Use the Platform in violation of any court order or applicable rule of professional conduct
- Misrepresent AI-generated analysis as human-produced work product
4. Use by Licensed Attorneys and Litigation Teams
The Platform is designed for use by legal professionals engaged in active civil litigation matters. By using the Platform, you represent that you are a licensed attorney in good standing, or that you are operating under the supervision of a licensed attorney who has authorized your use of the Platform.
5. Document Processing Disclaimer
Dracup parses and structures the contents of legal documents that users forward to the Platform. The Platform processes only documents that users submit; it does not crawl, scrape, or access external data sources to obtain matter-related content.
Dracup does not guarantee the completeness, accuracy, or currency of any AI-generated parse, classification, draft checklist, or draft communication. AI outputs may misclassify, omit, or misinterpret items contained within forwarded documents.
Users must independently review and approve all Platform outputs before relying on them in any legal proceeding, court filing, client communication, or other professional context.
6. Discovery Workflow Disclaimer
Dracup provides AI-assisted document parsing, workflow automation, and draft communications designed to support licensed attorneys in civil litigation discovery. Dracup expressly does not: provide legal advice or legal opinions; determine the legal sufficiency of any document production; make final determinations on privilege, relevance, or objections; or take any action without explicit attorney approval. All discovery decisions, production determinations, and client communications remain the sole professional responsibility of the licensed attorney using the platform. Dracup is a workflow support tool, not a legal services provider.
7. No Legal Advice
The Platform does not provide legal advice. All outputs, including parsed document demand items, draft client checklists, draft communications, and production records, are workflow tools intended to support, not replace, the professional judgment of licensed attorneys.
Dracup is not a law firm, does not practice law, and does not establish an attorney-client relationship with any user. The Platform is intended for use by licensed attorneys and litigation professionals as part of their independent legal preparation. Users are solely responsible for all decisions made in reliance on Platform outputs.
8. No Determination of Privilege, Relevance, or Sufficiency
The Platform does not make final determinations regarding privilege, relevance, responsiveness, objections, or the legal sufficiency of any document production. Any such designations generated by the Platform are draft suggestions only, intended to support attorney review.
Dracup expressly disclaims any representation that its outputs constitute legal determinations. No output of the Platform should be characterized or represented as an authoritative legal conclusion in any context.
9. User Responsibility for Verification
Users are solely responsible for reviewing and approving all outputs presented by the Platform, including but not limited to:
- Parse accuracy: confirming that document demand items have been correctly identified and structured
- Client checklists: confirming that requests sent to clients accurately reflect the underlying demand
- Draft communications: reviewing all outbound messages before transmission to clients, opposing counsel, or the court
- Production records: confirming that intake logs, document associations, and production summaries accurately reflect the matter record
The Platform may generate outputs based on incomplete, ambiguous, or misclassified document content. Dracup shall not be liable for any consequences arising from a user’s failure to independently review and approve Platform outputs before use.
10. Professional Responsibility
By using the Platform, you agree to use the Platform and its outputs in accordance with all applicable federal, state, and local laws, court rules, and ethical guidelines governing the practice of law, civil discovery, and the handling of privileged and confidential client information.
Users are solely responsible for ensuring their use of the Platform complies with:
- Applicable rules of civil procedure and local court rules governing discovery
- Applicable rules of professional conduct, including ABA Model Rules and state-specific ethics opinions
- Obligations relating to attorney-client privilege, attorney work product, and confidentiality of client information
- Federal and state privacy laws applicable to client and matter information
Dracup does not monitor or enforce compliance with jurisdiction-specific rules. Users must consult their own professional obligations before using Platform outputs in connection with any legal proceeding.
11. AI Analysis Transparency
Dracup uses artificial intelligence systems to parse, classify, and structure the contents of forwarded legal documents and to draft workflow artifacts such as client checklists and communications. AI-generated outputs represent automated interpretations of the documents provided. They are not legal advice, factual determinations, or verified conclusions.
AI systems may produce outputs that are incomplete, reflect patterns not present in the underlying data, or fail to identify relevant information. All AI-generated analysis is clearly identified within the Platform.
Users must review, evaluate, and independently assess all AI-generated outputs before relying on them in any professional context. Dracup does not represent AI-generated analysis as equivalent to human expert analysis.
12. Data Source Transparency
The Platform relies on third-party email providers, cloud storage providers, and AI infrastructure providers to deliver workflow services. Dracup does not control these external services and cannot guarantee their continued availability, accuracy, completeness, or timeliness.
Changes to third-party services or access restrictions may affect the scope or completeness of Platform outputs without prior notice. Dracup shall not be liable for any limitations arising from third-party service changes.
13. User Responsibility for Forwarded and Uploaded Data
Users are responsible for all data they forward or upload to the Platform, including emails, document attachments, matter details, and client information. By submitting data, you represent and warrant that:
- You have the legal right and client authorization to submit and process such data through the Platform
- Your use of such data complies with applicable laws and court rules
- The data relates to an active legal matter for which you are the licensed attorney of record or are acting under the supervision of one
14. Intellectual Property Rights
The Platform, including its software, algorithms, user interface, documentation, and all related intellectual property, is owned by Open Verdict Limited and is protected by applicable intellectual property laws.
Users retain ownership of data they upload to the Platform. Dracup retains ownership of all analytical outputs, methodologies, and structured formats generated by the Platform. Users are granted a limited, non-exclusive license to use Platform outputs in connection with their legal practice.
15. Platform Availability
Dracup endeavors to maintain reasonable availability of the Platform but does not guarantee uninterrupted or error-free operation. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
Dracup shall not be liable for any damages arising from Platform unavailability, including during trial preparation or active litigation.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DRACUP LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
WITHOUT LIMITING THE FOREGOING, DRACUP SHALL NOT BE LIABLE FOR:
- Litigation outcomes, discovery rulings, sanctions, or court determinations
- Document production decisions, privilege calls, or objection determinations made by users
- Reliance on Platform-generated parses, drafts, checklists, or workflow outputs
- Inaccuracies in AI-generated outputs or third-party services
- AI-generated analysis or drafts that are incomplete, incorrect, or misinterpreted
DRACUP’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO DRACUP DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
The Platform is provided as an informational tool to assist professional legal judgment. It is not a substitute for competent legal analysis, investigation, or professional responsibility.
17. Indemnification
You agree to indemnify, defend, and hold harmless Open Verdict Limited, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law, court rule, or professional conduct obligation; (d) any claim that your use of the Platform infringed upon or violated the rights of any third party; or (e) your failure to independently verify Platform outputs before use in legal proceedings.
18. Termination
Dracup may suspend or terminate your access to the Platform at any time, with or without cause, upon notice to you. You may terminate your account at any time by contacting us.
Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, limitation of liability, indemnification, and dispute resolution.
19. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
20. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Platform shall first be submitted to good-faith negotiation between the parties for a period of thirty (30) days. If the dispute is not resolved through negotiation, it shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association, with the arbitration to take place in Wilmington, Delaware.
Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
21. Changes to Terms
Dracup reserves the right to modify these Terms at any time. Material changes will be communicated through the Platform or by email to registered users at least thirty (30) days before taking effect. Continued use of the Platform following notice of changes constitutes acceptance of the revised Terms.
